Nanny Part time & Full time Terms & Conditions

KIIDU POLICY

Service Terms

Kiidu (Thailand) Co., Ltd.

1. Parties, Acceptance and Definitions

These Terms & Conditions (“Terms”) govern sourcing, screening, matching, introduction and related services provided by Kiidu (Thailand) Co., Ltd. (“Kiidu”, “we”, “us” or “our”) to the person or entity purchasing or using the services (“Customer”, “you”). “Candidate” means a nanny, caregiver or other domestic worker introduced or referred through Kiidu. By placing an order, paying a fee or electronically accepting these Terms, the Customer agrees to the Terms applicable to the purchased service. Kiidu should retain a record of the accepted version, acceptance date and time, and order or customer reference.

The applicable order, service description, fee schedule and any signed Customer Referral & Candidate Introduction Agreement form part of the agreement. The documents must identify their order of precedence, subject always to mandatory law.

2. Kiidu’s Role and Scope of Services

Kiidu provides candidate sourcing, shortlisting, screening, matching, referral, interview coordination and related support only to the extent described in the applicable order or written agreement. Finder Service Recruitment Co., Ltd. may provide recruitment, screening or documentation support where properly authorized and applicable to the service.

Unless expressly agreed otherwise in writing or required by applicable law, Kiidu is not the employer of a Candidate hired directly by the Customer and does not manage the Candidate’s day-to-day work, schedule or household duties. This description does not override any legal status, duty or obligation imposed on Kiidu by law. Kiidu will perform the services it expressly agrees to provide with reasonable care and in accordance with applicable law.

Kiidu will use reasonable efforts to identify Candidates who appear to meet the Customer’s stated requirements. Candidate availability, responses, third-party information and service timelines may vary. No particular hiring outcome or time to placement is guaranteed unless expressly stated in writing.

3. Candidate Screening and Verification

Depending on the Candidate, position and availability of reliable information, screening may include an interview, identity-document review, employment-history review, reference checks, qualification checks, work-authorisation checks where applicable, or police background checks. Kiidu will describe a check as completed or verified only where it has actually been carried out and documented. Information supplied by a Candidate or third party will not be described as independently verified unless Kiidu has taken reasonable steps to verify it.

Screening is based on information available at the time of review. Documents, references and background information may be incomplete, unavailable or subject to verification limitations. Screening cannot guarantee a Candidate’s future conduct, performance, honesty, reliability, health or suitability for every household. The Customer may ask Kiidu which screening steps were completed for a shortlisted Candidate, subject to privacy, confidentiality and applicable law.

The Customer remains responsible for interviewing Candidates, reviewing available information, asking relevant questions and making the final hiring decision. Nothing in this section excuses Kiidu from performing an expressly promised check or service, or from any responsibility imposed by law.

4. Customer Responsibilities and Hiring Decision

The Customer must provide accurate and complete information about the role, required skills, duties, working conditions, location, compensation, schedule, accommodation and other material requirements. The Customer must promptly notify Kiidu of any material change and, where reasonably practicable, notify Kiidu within 24 hours after extending an offer, finalizing a hiring decision or receiving a Candidate’s acceptance.

The Customer decides whether to interview, select, hire or engage a Candidate. The Customer and Candidate should record their employment terms in writing, including duties, salary, payment dates, working hours, rest days, leave, accommodation, supervision, termination and other legally required conditions.

To the extent the Customer is the employer or engager under applicable law, the Customer is responsible for managing the employment relationship, paying wages, overtime and legally required benefits on time, providing lawful and safe working conditions, and complying with applicable labour, immigration, tax, workplace-safety and other laws. The Customer must verify that the Candidate is legally authorized to perform the proposed work where required. Nothing in these Terms transfers to the Customer a legal obligation that applicable law places on Kiidu.

5. Customer Conduct and Safeguarding

The Customer must treat Candidates lawfully, safely and respectfully. Abuse, harassment, discrimination, threats, unlawful restriction of movement, confiscation or retention of identity documents, unsafe working conditions, and other unlawful or exploitative conduct are prohibited. Where live-in arrangements are agreed, the Customer must provide safe, hygienic and lawful living and working conditions.

Kiidu may suspend or terminate services where reasonably necessary due to serious safety concerns, unlawful conduct, material breach or non-payment of amounts properly due, subject to applicable law and any required notice. Any refund or unused benefit will be handled under the applicable order, refund policy and mandatory law. In an immediate safety emergency, the affected person should contact the appropriate emergency services or authorities.

7. Fees, Placement Commission, Taxes and Payment

The Customer must pay the subscription price and any other fees expressly disclosed in the order summary before purchase. In addition to the subscription fee, the placement commission for a Candidate hired through Kiidu is 25% of that Candidate’s agreed first month’s gross salary, if this formula is confirmed in the applicable order or signed agreement. The commission is payable on or before the Candidate’s first scheduled working day or upon execution of the employment agreement, whichever occurs first. Kiidu must disclose the payer, calculation basis, due date and applicable taxes before the Customer commits.

Interview handling fees, if applicable, are: phone interview ฿200, video interview ฿300 and in-person interview ฿400, only where these fees are disclosed before booking. Additional travel or out-of-area fees may apply only if disclosed in advance. Fees are payable in Thai Baht unless agreed otherwise in writing. VAT and other taxes will be charged as required by law and identified in the order or invoice.

Payments must be made through payment channels or company bank accounts identified on Kiidu’s official invoice or checkout. Payment is complete when funds are received and confirmed. Any late-payment interest must not exceed the rate permitted by applicable law and must be disclosed in the applicable agreement. Kiidu will not rely on undisclosed fees or retrospectively change a purchased fee except as permitted by law and the agreement.

8. Replacements and Service Timelines

Replacement availability, maximum number of replacements, eligibility period, qualifying reasons, customer cooperation requirements, exclusions and any additional commission must be clearly stated in the selected plan’s order confirmation. Kiidu will not promise a specific number of replacements or a guaranteed sourcing period unless it is expressly included in the applicable plan and can be delivered.

Where a replacement is included, the Customer must submit the request and relevant information within the applicable eligibility period. Kiidu will use reasonable efforts to present replacement options within the timeframe stated in the order confirmation. If no specific timeframe is stated, Kiidu will communicate a reasonable estimate based on the role and candidate availability. Any additional commission for a replacement, including a salary-difference charge, must be disclosed in advance.

9. Non-Circumvention and Candidate Confidentiality

For 12 months after Kiidu first introduces a Candidate to the Customer, the Customer must not knowingly bypass Kiidu to hire or engage that Candidate without paying the applicable fees disclosed in the order or agreement. This restriction applies only to the extent permitted by applicable law and does not apply where the Customer can demonstrate a pre-existing independent relationship with the Candidate that was not obtained through Kiidu.

The Customer must not sell, distribute or disclose Candidate profiles, contact details, references or other confidential information to third parties, except where necessary for the hiring decision or permitted by law. If a Customer breaches this section, Kiidu may seek the fees properly due and any other remedy legally available. Any agreed damages must be a reasonable estimate of loss and must not operate as an unlawful penalty.

10. Cancellations and Refunds

Cancellation rights, refund eligibility, refund amounts, deadlines, replacement alternatives and any exclusions must be stated in the Cancellation, Refund & Replacement Policy and the Customer’s order summary before purchase. Subscription fees may cover platform access, operational processing and sourcing work and may become non-refundable once the service has started, but only to the extent clearly disclosed and permitted by applicable law.

If a Candidate fails to report for the first working day, Kiidu will apply the remedy expressly stated in the applicable order or refund policy, which may include alternative candidate profiles, a credit or a refund. No clause in these Terms removes mandatory consumer rights. Refund requests should be submitted in writing with reasonably available supporting information within the timeframe stated in the applicable policy; a deadline will not remove a non-waivable legal right.

11. Limitation of Liability and Customer Claims

Kiidu does not guarantee a Candidate’s future conduct, performance, honesty, reliability, suitability or length of employment. To the extent permitted by law, Kiidu is not responsible for a Candidate’s independent acts or omissions merely because Kiidu introduced or referred that Candidate. The Customer remains responsible for its hiring decision and for supervision and employment obligations to the extent imposed on the Customer by law.

This limitation does not exclude liability for which Kiidu is legally responsible, including liability arising from Kiidu’s own negligence, wilful misconduct, fraud, breach of an express contractual obligation or violation of applicable law. Nothing in these Terms excludes or limits any right, remedy, duty or liability that cannot lawfully be excluded or limited.

To the extent permitted by law, Kiidu will not be liable for indirect, incidental, special or consequential losses, including loss of profit, revenue, business opportunity, anticipated savings, goodwill or reputation, where those losses may lawfully be excluded. Any monetary cap on Kiidu’s aggregate liability must be expressly stated in the applicable signed agreement, clearly disclosed before acceptance and reviewed for enforceability under Thai law. If no enforceable cap is expressly agreed, these Terms do not create one.

The Customer should notify Kiidu promptly of any complaint, incident, alleged mistake or loss connected with the matching or support services and provide reasonably available supporting information. Kiidu will review the matter in accordance with its applicable procedures. Reporting an incident to Kiidu does not replace any emergency response or legal reporting obligation.

12. Customer Indemnification and Limitation of Kiidu’s Responsibility

12.1 Customer Indemnification

To the fullest extent permitted by applicable law, the Customer shall indemnify and hold harmless Kiidu (Thailand) Co., Ltd., its directors, officers and employees against reasonable, documented losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising from a third-party claim to the extent directly caused by:

(a) the Customer’s breach of these Terms or the applicable agreement;

(b) the Customer’s negligent, reckless, fraudulent or unlawful act or omission;

(c) the Customer’s abuse, harassment, mistreatment or unsafe treatment of a Candidate; or

(d) the Customer’s misuse or unauthorized disclosure of personal data or confidential information obtained through Kiidu’s services.

12.2 Independent Actions of Candidates

The Customer acknowledges that a Candidate is an independent individual whose conduct, decisions and performance are outside Kiidu’s day-to-day control, except to the extent Kiidu has expressly agreed otherwise in writing or is required to act by law. To the fullest extent permitted by applicable law, Kiidu shall not be responsible for the independent acts or omissions of a Candidate, including theft, misconduct, negligence, property damage, personal injury or other loss, except to the extent such loss is legally attributable to Kiidu’s own act or omission or to a responsibility that cannot lawfully be excluded.

12.3 Allocation of Responsibility

The Customer’s indemnity obligation applies only to the extent a claim is legally attributable to the Customer. Where multiple parties contributed to a loss, responsibility shall be allocated in accordance with applicable law. Nothing in this Clause requires the Customer to indemnify Kiidu for any loss to the extent caused by Kiidu’s own negligence, wilful misconduct, fraud, breach of contract or violation of law, or where such indemnity is prohibited by applicable law.

12.4 Notice and Handling of Claims

Kiidu shall provide the Customer with reasonable notice of any claim for indemnification and the parties shall reasonably cooperate in responding to the claim. No settlement may impose an admission of liability or a non-monetary obligation on the Customer without the Customer’s prior written consent, which shall not be unreasonably withheld or delayed.

12.5 No Waiver of Mandatory Rights

Nothing in this Clause excludes or limits any liability, right or remedy that cannot lawfully be excluded or limited under applicable law. This Clause shall be interpreted and applied only to the extent permitted by the laws of Thailand.

13. Personal Data and Confidentiality

Kiidu and the Customer must handle personal data in accordance with applicable data-protection law, including Thailand’s Personal Data Protection Act B.E. 2562 (2019), where applicable. Candidate profiles, contact information, references, background information and medical information must be handled confidentially and used only for legitimate purposes connected with the requested service or hiring decision.

The Customer must take reasonable steps to protect personal data, avoid unauthorized disclosure and securely delete or destroy information about Candidates who are not hired when it is no longer needed and retention is not legally required. Kiidu will handle Customer data for purposes connected with processing requests, matching, support, billing, legal compliance and other purposes disclosed in its Privacy Policy. Sensitive personal data will be handled only on a lawful basis and with required safeguards.

14. Suspension, Termination and Events Beyond Control

Either party may terminate a service in accordance with the notice and termination provisions stated in the applicable order or signed agreement. Kiidu may suspend or terminate services for material breach, fraud, unlawful conduct, serious safety concerns or non-payment of amounts properly due, subject to applicable law and any required notice or opportunity to remedy. Accrued payment obligations, confidentiality duties and other provisions intended to survive will continue as permitted by law.

Kiidu is not responsible for delay or failure to perform to the extent directly caused by an event beyond its reasonable control, provided it takes reasonable steps to mitigate the effect and communicates material impacts where reasonably practicable. This section does not excuse any legal duty that cannot lawfully be excluded.

15. Complaints and Dispute Resolution

The Customer should first raise service complaints in writing with Kiidu and provide relevant details so the parties can attempt to resolve the matter in good faith. This process does not prevent a party from seeking urgent relief, contacting the appropriate authority or exercising any legal right that cannot be waived. These Terms are governed by the laws of Thailand, subject to mandatory legal rules and jurisdictional requirements.

16. General Terms

Entire agreement: These Terms, the applicable order, signed service agreement, schedules, Cancellation Policy and Privacy Policy form the agreement for the relevant service. They should identify the order of precedence, subject always to mandatory law.

Changes: Kiidu will identify the effective date of these Terms and retain prior versions. Changes apply prospectively and will be communicated as required by law. Material changes to an existing purchase require any notice or consent required by law or contract.

Severability and waiver: If a provision is invalid or unenforceable, it will be limited or severed to the extent legally required, and the remaining provisions will continue where permitted. Failure or delay in enforcing a right does not automatically waive it.

Electronic acceptance: Electronic acceptance or signatures may be used where permitted by law. Kiidu should retain evidence of the accepted version, date and time, and the relevant order or customer reference.

Language: The English and Thai versions must be reviewed together and kept materially consistent. Any language-precedence clause applies only to the extent permitted by applicable law.
